TERMS AND CONDITIONS
TRANSPORT HUB
Platform operated by Q-Line Express SRL
In force from 19 July 2026
1. The parties and the object of the contract
This document (the "Terms and Conditions" or the "Contract") governs the contractual relationship between Q-Line Express SRL, a Romanian legal entity, with its registered office at Str. Plugarilor nr. 8, postal code 500473, Brașov, Brașov county, registered with the Trade Register under no. J2021002715082, tax identification number (CIF) RO36664980, telephone 0738463393, e-mail contact@transporthub.ro (the "Provider"), as operator of the online platform Transport Hub, and any legal entity that registers on the Platform (the "Client" or the "Member").
The object of the Contract is the provision by the Provider, to the Member, of access to Transport Hub (the "Platform"), a software application that facilitates the meeting of demand and supply in road freight transport, including time-critical transport, transport of dangerous goods (ADR) and high-value goods, through the publication and consultation of offers of available freight and of available transport capacity.
The role of the Provider. The Platform is a technical intermediation tool. The Provider is not a party to any transport, freight forwarding or sale contract concluded between Members through the Platform, and does not act as carrier, freight forwarder, transport commission agent or beneficiary of any such contract. Details on the limitation of liability are set out in Section 11.
2. Definitions
The Platform. the Transport Hub software application, accessible online, through which Members publish and consult road freight transport offers.
The Community. all companies registered and with active access on the Platform.
The Member / the Client. the legal entity registered on the Platform, holder of the Account and contractually responsible for the activity carried out through it.
The User. the natural person, an employee or agent of a Member, who actually operates the Account on its behalf.
The Administration. the team appointed by the Provider to administer the Platform and apply the Platform Rules.
The Account. the set of credentials allocated to a User for accessing the Platform.
The Platform Rules. the rules of use, conduct and sanctions applicable to Members and Users, available separately and an integral part of the Contract in accordance with Section 9.
3. Eligibility conditions
Access to the Platform is reserved exclusively for legal entities active in road freight transport (carriers, freight forwarders, transport commission agents) or for users of transport services (shippers, manufacturers, goods distributors). The registration of a natural person, in their own name and without representing a company, is not permitted.
4. Registration and creation of the account
Registration starts by declaring the company's tax identification number (CUI/CIF) and the country of its registered office. A company cannot register more than once with the same tax identification number.
On registration, the company declares, on its own responsibility, its legal data, transport licences and relevant professional certificates (including, where applicable, ADR certificates).
The declared legal data is verified by the Administration, including through a KYB ("Know Your Business") procedure, before unrestricted access to the Platform is granted. The Administration reserves the right to refuse activation, with reasons, on the basis of identified risks.
The procedural details on registration, verification and activation of the account are set out in the Platform Rules.
5. Pricing plans, subscriptions and payment
The Provider makes available several plans for accessing the Platform, published and updated on the website, which may also include a free access level with limited functionality. Plans may differ from one another in the number of users included, the functionality available (for example, fleet management and geolocation, generation of transport documents, team statistics) and the corresponding price.
Each plan includes a set number of User accounts; additional accounts may be added for a fee, at the price published for that plan, invoiced in proportion to the period remaining from the current subscription.
The Member may change the chosen plan (upgrade/downgrade) in accordance with the options published on the website; the effects on invoicing and on access to functionality apply from the date the change is confirmed.
Payment is made by bank transfer from the Member company's account, by a business/corporate bank card issued in the company's name, or by other methods agreed and published by the Provider. For a newly registered company, the first payment must be made from a bank account or card opened in the company's name.
In the case of card payments, if the amount is subsequently revoked or disputed by the card issuer (chargeback), the Provider may immediately suspend the Member's access, until the situation is clarified and, where applicable, until the amount due is paid again.
5.4 TransportHub credits
Certain operations and services on the Platform (for example, opening a payment incident or activating additional User accounts) may be conditional on holding and consuming TransportHub credits ("TH credits"), prepaid by the Member through the agreed payment methods. The prices expressed in credits and their equivalent in lei are displayed on the Platform at the moment of the operation. Credits purchased and not used are not refunded on termination of the Contract or on suspension of the account, in accordance with Section 20.3 of the Platform Rules, except in the cases expressly provided for.
6. Invoicing
Tax invoices are issued electronically and made available to the Member in their profile on the Platform, in accordance with the applicable Romanian tax legislation.
Invoices not paid by the due date may lead to suspension of access, under the conditions set out in the Platform Rules, without affecting the obligation to pay the amounts already due.
7. Duration of the Contract and renewal
The Contract is concluded for the duration of the active subscription, with renewal at the Member's initiative, no more than one month before expiry.
Renewal may also be requested after the current subscription has expired, without a new company registration being required, except where more than [12] months have passed since expiry, in which case the Provider may request re-verification of the Member's data.
The Provider may refuse renewal, with reasons, on grounds of risk to the Community.
8. Termination of the Contract
8.1 Termination at the Member's initiative
The Member may decide at any time not to renew the current subscription, in which case the Contract ends on its expiry date, without further formalities. The Member is not entitled to a refund of the value of the unused subscription period, except in the cases expressly provided for in the Platform Rules.
8.2 Termination at the Provider's initiative
The Provider may unilaterally terminate the Contract, with immediate effect, in the cases of withdrawal of membership provided for in Section 20.1 of the Platform Rules, without prior notice of default being required, where the established act is such as to seriously affect the integrity or safety of the Community.
8.3 Effects of termination
On termination of the Contract, the Member's access to the Platform is deactivated. The Member's data is retained and, where applicable, ported, under the conditions of Section 12 and of the Privacy Policy.
9. Relationship with the Platform Rules
The Platform Rules, which set out in detail the rules of conduct, the system of payment and transport incidents, the scoring, the applicable sanctions and the appeal procedure, are an integral part of this Contract and apply to every Member and User, alongside these Terms and Conditions.
In the event of a conflict between the two documents: (i) as regards purely contractual matters — conclusion, duration, payment of the subscription, renewal or termination of the Contract — this document prevails; (ii) as regards conduct within the Community, incident procedures, operational sanctions (suspension, withdrawal of membership) and the appeal procedure — the Platform Rules prevail, including where such a sanction also has financial effects (for example, the intermediation fee applicable in the case of a breach of the disintermediation prohibition).
10. Intellectual property and licence of use
- The "TransportHub" trademark, the design, the source code and any other intellectual property element relating to the Platform belong exclusively to the Provider or its licensors. Nothing in this Contract transfers to the Member any ownership right over them.
Licence of use. The Provider grants the Member, for the duration of the Contract, a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform, exclusively through the authorised accounts of its Users and exclusively for the purposes for which the Platform is intended, in accordance with this Contract and the Platform Rules. This licence terminates automatically on termination of the Contract or on suspension or withdrawal of access, under the conditions of the Platform Rules.
Any form of decompilation, disassembly, reverse engineering, copying of the database, automated extraction of the data or of the code of the Platform is prohibited, as is the use of software agents, robots or artificial-intelligence-based tools to interact with the Platform in any way other than through the interface made available to human Users, with the exception of integrations expressly authorised by the Provider (for example, through an official API, if and when one is made available).
The rights over the content published by Members (offers, descriptions, documents) and the licence granted to the Provider over that content are governed by the Platform Rules.
11. Limited liability
Principle. The Platform is a technical intermediation tool that facilitates the meeting of demand and supply in road freight transport. The Provider is not a party to any transport, freight forwarding or sale contract concluded between Members through the Platform.
Consequently, and without limiting the generality of the above, the Provider does not guarantee and is not liable for: the performance, quality or conformity of the transport agreed between Members; the payment of the price due between Members; the identity, solvency or good faith of Members, beyond the verification procedures declared in the Platform Rules; the authenticity of the documents uploaded by Members; the loss, damage or delay of the goods transported; or fraud committed by one Member against another Member.
Mandatory legal exception. The exclusions above do not apply to damage caused intentionally or through the gross negligence of the Provider, to death or personal injury resulting from the Provider's act, or to any other liability that cannot be excluded or limited by law.
Liability cap for the operation of the Platform. For any direct, proven damage resulting from the Provider's own fault in connection with the technical operation of the Platform (for example, a malfunction affecting the Member's data), the Provider's total liability towards that Member, regardless of the number of claims made within a contractual period, shall not exceed the greater of: (i) the total value of the amounts paid by the Member to the Provider in the 12 (twelve) months preceding the event giving rise to the claim, or (ii) the equivalent in lei of EUR 500, calculated at the Romanian National Bank exchange rate on the date of the event.
The Provider is not liable for indirect, special, incidental or consequential damage (including loss of profit, of customers or of reputation).
Any complaint regarding the Platform must be made in writing, within one month from the date on which the Member became aware, or should reasonably have become aware, of the event complained of, under penalty of forfeiture.
The Provider is not responsible for the failures of third parties (connectivity, hardware, services of independent providers), nor for the content of third-party sites or services.
Provision "as is". The Platform is made available "as is" and "as available". The Provider makes reasonable efforts to keep the Platform working properly, but does not guarantee uninterrupted operation, the absence of errors or vulnerabilities, or compatibility with any technical configuration of the Member. Any additional functionality of the Platform, including automations, tools assisted by artificial intelligence technologies or integrations with third-party services, is indicative and ancillary in nature; the Provider does not guarantee the accuracy, uninterrupted availability or completeness of the results produced by such functionality, and the Member remains solely responsible for the commercial decisions taken on the basis of them. Functionality expressly marked as "Beta" or "experimental" is offered without any additional warranty and may be modified or withdrawn at any time.
Indemnification. The Member shall indemnify and defend the Provider against any claims, actions, damages, costs or expenses (including reasonable lawyers' fees) brought by third parties (another Member, a public authority, a client or a partner of the Member) as a result of: (i) the Member's breach of this Contract or of the Platform Rules; (ii) the content published by the Member on the Platform; (iii) the defective performance or non-performance of a transport agreed between Members; or (iv) the Member's breach of a legal obligation applicable to its activity.
Confidentiality. Each party undertakes to keep confidential the commercial information of the other party to which it has access within the contractual relationship (for example, prices, volumes, information obtained by the Administration in the KYB verification process), and not to use it for any purpose other than that for which it was provided, with the exception of information that has become public without the fault of the party holding it, or information whose disclosure is required by law or by a competent authority.
12. Data portability when changing provider
To the extent that Regulation (EU) 2023/2854 on data (the "EU Data Act") becomes applicable, a Member wishing to change provider shall notify the Provider in writing, with 2 months' notice. After the notice period expires, a transition period of 30 calendar days follows, during which the Provider will return the Member's exportable data in a mutually agreed format; this period may be extended, with reasons, by up to 7 months, or at the Member's request, by up to a further 2 months. On successful completion of the process, the Contract is deemed terminated, subject to the legal data retention periods.
13. Force majeure
Neither party is liable for the non-performance of its obligations if this is due to an event of force majeure — unforeseeable, insurmountable and beyond the control of the affected party — occurring after the entry into force of the Contract. The affected party shall notify the other party within the shortest reasonable time and shall make reasonable efforts to limit the effects of the event. If the force majeure event lasts more than 60 days, either party may terminate the Contract, without damages.
14. International sanctions law
Members undertake to comply, throughout their use of the Platform, with the applicable laws and regulations on export control, sanctions and economic embargoes, including the prohibitions on doing business with entities on the sanctions lists issued by the UN, the EU, the United Kingdom or the governmental authorities of the USA. The Member shall immediately notify the Provider if it, one of its Users or a contracting party identified through the Platform comes to appear on such a list.
15. Electronic signature
The parties acknowledge the legal validity and binding character of electronic signatures for the conclusion of this Contract and of any addenda, except where the applicable law requires another form of execution.
For the purposes of this Contract, a valid electronic signature is any form of electronic acceptance by the Member through which it unequivocally expresses its consent, including, without limitation: creating an account on the Platform, ticking a box accepting the Terms and Conditions, or confirming the registration by e-mail. The use of a qualified electronic signature, within the meaning of Regulation (EU) no. 910/2014 (eIDAS), is not required, except in the cases where the applicable law expressly requires such a form.
The Provider will keep, for each Member, a technical record of the moment and manner of acceptance (the date, the time and, where applicable, the IP address), which may be used as evidence in the event of a dispute.
16. Applicable law and dispute resolution
This Contract is governed by Romanian law.
The parties shall attempt to resolve any dispute amicably, within 30 days from the written notification of the disagreement.
If amicable resolution fails, the dispute shall be submitted to the competent courts at the Provider's registered office, regardless of the Member's registered office.
17. Amendment of the Terms and Conditions
The Provider reserves the right to amend this document periodically, to adapt it to the evolution of the Platform or of the applicable legal framework. Amendments become effective on the date of publication on the website or in the Member's profile. For material amendments, the Provider will make reasonable efforts to notify Members in advance, within a reasonable time before they enter into force. Continued use of the Platform after the amendments are published constitutes acceptance of the updated version.
18. Final provisions
- Notices between the parties are sent in writing, to the contact addresses declared on the Platform or by e-mail to the contact address published by the Provider.
Assignment. The Provider may assign the rights and obligations under this Contract to an affiliated or successor company, with prior notice to Members. The Member may not assign or transfer, in whole or in part, its rights and obligations under this Contract, its account or its access to the Platform, to another natural or legal person, without the prior written consent of the Provider.
- If a clause of this Contract is declared void or unenforceable, the remaining clauses remain valid, and the affected clause shall be replaced by one that reflects as closely as possible the original intention of the parties.
Waiver. The fact that the Provider does not apply, at a given moment, a sanction, or does not immediately invoke a clause of this Contract or of the Platform Rules, does not constitute a waiver of the right to apply or invoke it later.
Survival. The clauses on intellectual property, confidentiality, limitation of liability, indemnification, applicable law and dispute resolution remain in force after the termination of this Contract, to the extent necessary to achieve their purpose.
- This Contract, together with the Platform Rules and the Privacy Policy, represents the entire understanding between the parties in relation to its object and replaces any prior understandings, written or verbal.
